Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and Kgusiame Group (Pty) Ltd, trading as HRShield (“HRShield”, “we”, “our”), governing your access to and use of the HRShield platform and all related services (“the Service”).

By registering for an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

HRShield provides a software-as-a-service platform for South African HR and labour law compliance, including document generation, disciplinary case management, leave management, UIF compliance tracking, and an AI-assisted legal information service.

Important limitation:

The Service, including the AI Legal Assistant, provides general information and document templates grounded in South African legislation. It does not constitute legal advice and does not create an attorney-client relationship. You should consult a qualified labour law attorney before making significant employment decisions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Subscriptions and Payment

Access to the Service is provided on a subscription basis. Subscription tiers (Trial, Starter, Growth, Business, Enterprise) and their pricing are as displayed on our pricing page, which we may update from time to time with 30 days' notice.

  • Subscriptions are billed monthly in advance in South African Rand (ZAR)
  • Payment is processed by Paystack; you authorise us to charge your designated payment method
  • Failed payments may result in suspension of access after 7 days' notice
  • You may cancel your subscription at any time; access continues until the end of the paid period
  • No refunds are provided for partial subscription periods except as required by the Consumer Protection Act 68 of 2008

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of South African law
  • Upload false, inaccurate, or fraudulent employee data
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Use the Service to harass, discriminate against, or harm any individual
  • Share your account credentials or allow unauthorised third parties to access the Service through your account
  • Attempt to circumvent any access controls, rate limits, or subscription tier restrictions
  • Scrape or harvest data from the Service through automated means

5. Data Ownership and Responsibility

You retain full ownership of all data you upload to the Service (“Customer Data”). You grant HRShield a limited licence to process Customer Data solely to provide the Service.

You are solely responsible for:

  • The accuracy and legality of all Customer Data
  • Obtaining any required consents from employees whose data you enter into the Service
  • Complying with POPIA as the Responsible Party for your employees' personal information
  • The employment decisions you make using information or documents generated by the Service

6. Intellectual Property

The Service, including its software, design, trademarks, document templates, and all content created by HRShield, is owned by Kgusiame Group (Pty) Ltd and is protected by South African and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service during your active subscription period. Documents generated by the Service for your employees belong to you; you may use them freely for their intended HR purposes.

7. Limitation of Liability

To the maximum extent permitted by South African law:

  • HRShield's total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the subscription fees paid by you in the 3 months immediately preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption
  • We are not liable for any employment decisions you make based on documents or information generated by the Service; these are provided for guidance only
  • We are not liable for outcomes of CCMA proceedings, disciplinary hearings, or other employment disputes where you have used our Service

8. General Provisions

8.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

8.2 Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

8.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
